SGFcowork Member Agreement

Global Workspace Holdings, LLC

This Agreement is entered into between Global Workspace Holdings, LLC ("SGFcowork") and the undersigned Member.

1. Membership Types & Access

Members are granted access to SGFcowork facilities based on their selected membership tier:

Hot Desk — Access to any available unassigned workspace during posted business hours (as defined in the Member Manual or posted on the SGFcowork website)

Dedicated Desk — Access to an assigned desk, including a secured drawer

Private Office — Access to an assigned private office space

Access is granted via a personalized badge bearing the Member's photo and membership tier. This badge is non-transferable and may only be used by the Member to whom it was issued.

2. Badge & Access Control

The Member's badge is required for all facility entry via turnstile or door scanner

Badges are deactivated immediately upon membership termination or suspension

The Member agrees not to allow any other person to use their badge for facility access

Tailgating or allowing unauthorized entry is grounds for immediate termination of membership

Lost or stolen badges must be reported to staff immediately

Badge replacement fee: $25–$50

After-hours lockout assistance fee: $50–$100 (if staff is required to respond)

3. Dedicated Desk — Drawer & Storage

Members with a Dedicated Desk membership are issued one (1) physical key to their assigned drawer. A spare key is retained by SGFcowork management.

Key Policy:

The Member's key is issued at onboarding and must be signed for

Keys are non-transferable

The Member agrees not to duplicate the key in any form

Upon membership termination, the key must be returned on or before the final day

Failure to return the key will result in a lock replacement/rekey fee of $300–$500, charged to the Member's account

Storage Liability:

SGFcowork is not responsible for any items lost, stolen, or damaged from drawer storage or any area of the facility

Members store items at their own risk

SGFcowork recommends Members carry personal property insurance for any valuables kept on premises

SGFcowork takes reasonable security precautions, including rekeying drawers between memberships, but cannot guarantee absolute security

4. Hardware & Specialized Workstations

SGFcowork provides access to specialized computing hardware and portable devices. Use of this equipment is subject to availability and the following terms:

Compute Desks

Usage Allotment: Members on a "Compute Desk" plan are granted a specific number of high-performance computing hours per billing cycle, as defined in the Member Manual

Overages: Use beyond the monthly allotment will be billed at the hourly rate current at the time of use

Data Privacy & Session End: Members are responsible for logging out of all personal accounts and clearing local data before their session ends. All data is wiped automatically upon sign-out. SGFcowork periodically wipes these machines and is not responsible for any lost data under any circumstances

Recommended Practice: Members are strongly encouraged to use cloud-based applications or an external SSD with autosave enabled to prevent data loss. SGFcowork assumes no liability for data lost due to session termination, system wipes, hardware failure, or any other cause

Laptop Rentals (Hot Desk Members)

Eligibility: Current Hot Desk members may check out a laptop for use on-premises at no additional cost for the duration specified in the Member Manual, subject to availability

On-Premises Use Only: Rental laptops must never leave the SGFcowork facility. Removing a rental laptop from the premises will be treated as theft and will result in immediate membership termination and a report filed with local law enforcement

Return Policy: Laptops must be returned to the designated charging station or front desk in the same condition as received, by the end of the Member's session or business day

Damage & Loss Liability

Member Responsibility: The Member assumes full financial responsibility for any equipment checked out to them or accessed via a Compute Desk during their session

Repair/Replacement Fees: If equipment is damaged, lost, or stolen while in the Member's care, the Member will be charged the full retail replacement cost plus a 15% administrative fee

SGFcowork's determination of damage, loss, or replacement cost shall be final

5. Payment & Fees

Membership fees are billed on a recurring basis per the selected plan

Fees are due on the billing date and are non-refundable unless otherwise stated

Late payments (after 5-day grace period) will incur a fee of 10% of the monthly membership rate

Returned checks or ACH/card failures will incur an NSF fee of $35

Suspended access may result from unresolved balances

6. Termination & Offboarding

Cancellation Notice:

Members are required to provide a minimum of 30 days written notice prior to their next billing cycle to cancel their membership

Notice must be submitted via email to management

Cancellations received less than 30 days before the next billing date will result in one final billing cycle charge

Prorated Refunds:

SGFcowork does not prorate the final month of membership

Members retain access through the end of their paid billing period

Upon termination, the Member agrees to:

Clear all personal belongings from their assigned desk, drawer, or office by the final day

Return their drawer key (Dedicated Desk members)

Return or surrender their access badge

Settle any outstanding balance on their account

SGFcowork reserves the right to remove and dispose of any items left behind after the termination date. SGFcowork is not liable for any items abandoned on premises.

7. Digital Security & Network Use

SGFcowork provides shared Wi-Fi and network access as a convenience to Members.

Network Liability:

SGFcowork is not responsible for data breaches, malware, cyberattacks, or data loss occurring while using the facility's network

Members are responsible for their own data security, including the use of VPNs, encryption, and secure connections

SGFcowork does not monitor individual member internet traffic but reserves the right to do so if illegal or prohibited activity is suspected

Prohibited Network Activities:

Illegal downloading, torrenting, or distribution of copyrighted material

Running high-bandwidth servers, crypto mining, or any activity that degrades network performance for other members

Any activity that is illegal, harmful, or violates the rights of others

Attempting to access other members' devices or data on the network

Violation of network policies may result in immediate suspension or termination of membership.

8. Guests & Meeting Rooms

Guest Policy:

Members may bring guests for meetings and short visits

Guests are permitted for meetings but may not use the facility as a regular workspace

All guests must sign in at the front desk upon arrival

Members are responsible for the conduct of their guests while on premises

Extended or repeated guest use may require a day pass or membership at SGFcowork's discretion

Meeting Room Bookings:

Meeting rooms are available for booking through SGFcowork's designated scheduling system

Booking credits, allotments, or pay-per-use rates are outlined in the Member's specific plan

Unused credits do not roll over between billing periods unless otherwise stated

Members are responsible for leaving meeting rooms clean and ready for the next booking

9. Mail & Deliveries

SGFcowork is not a registered mail receiving agency and does not offer mail handling as a service. Any mail or packages delivered to the SGFcowork address on behalf of a Member will not be accepted, forwarded, or held. Mail may be returned to sender without notice. SGFcowork is not liable for any lost, undelivered, or returned mail or packages. Members are responsible for maintaining a separate business mailing address.

10. Photo & Media Release

SGFcowork may photograph or record the facility and its common areas for marketing, social media, and promotional purposes.

By signing this agreement, the Member consents to appearing incidentally in the background of promotional photos or videos taken in common areas

Members who wish to opt out of any media use must notify management in writing

SGFcowork will not intentionally feature any Member as the primary subject of promotional content without their separate written consent

11. Updates to This Agreement

SGFcowork reserves the right to update, modify, or amend this Agreement, House Rules, or Member Manual at any time. Members will be notified of material changes via email at least 14 days prior to changes taking effect. Continued use of the facility after the notice period constitutes acceptance of the updated terms.

12. General Conduct

Members agree to respect shared spaces and fellow members

Disruptive, threatening, or illegal behavior is grounds for immediate termination

SGFcowork reserves the right to terminate any membership at its discretion with reasonable notice

The facility is for professional office use only. Overnight stays, sleeping on-premises, and use of the facility for residential purposes are strictly prohibited

SGFcowork reserves the right to remove any item left on premises that is believed to pose a risk to the safety, security, or wellbeing of the space, its members, or staff. Removed items will be returned to the Member where possible. Items believed to be illegal in nature will not be returned and will be turned over to law enforcement

13. Limitation of Liability

Global Workspace Holdings, LLC shall not be held liable for any loss, theft, damage, or injury occurring on the premises, including but not limited to data loss from computing equipment, hardware failure, or network interruption. Members use the facility and its amenities at their own risk.

14. Governing Law

This Agreement shall be governed by the laws of the State of Missouri. Any disputes arising from this Agreement shall be resolved in the courts of Greene County, Missouri
